These Terms and Conditions (“Terms”) govern your access to and use of theshit.co (the “Website”).

The Website is owned and operated by Butler Digital ApS, CVR/VAT no. 46083709, registered in Denmark (“we,” “us,” or “our”).

By accessing the Website, placing bids, purchasing placements, submitting content, or otherwise engaging in commercial activity through the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website.

Changes to These Terms
We may update these Terms from time to time. Updates will be posted with a revised “Last updated” date. Continued use of the Website constitutes acceptance of updated Terms.

Nature of the Platform
theshit.co is a curated digital feature platform. Each day, one brand, product, service, person, or cause may be featured exclusively on the homepage for a fixed 24-hour period. The Website may include auction-based homepage placements, sponsored features, affiliate partnerships, and paid promotional placements. We retain full editorial discretion over all placements.

Eligibility
By participating in auctions or purchasing placements, you represent that you are legally capable of entering binding agreements, are authorized to act on behalf of the brand or entity represented, and have the financial ability to complete payment if you win an auction.

Frequency cap: A sponsor may appear no more than once every 14 days.

Daily Feature Auctions
3.1 Binding Bids
All bids placed through the Website are binding offers to purchase the placement at the bid amount submitted. The highest valid bid at the official auction close time secures the placement, subject to compliance with these Terms. We reserve the right to reject bids that appear fraudulent, manipulative, or technically invalid. Winning bids constitute a binding obligation to complete payment.

3.2 Payment Deadline
Payment must be completed within 24 hours of auction close. Failure to submit complete and compliant materials within the deadline may result in forfeiture of the placement. Any decision to reschedule or otherwise accommodate late submission is made solely at our discretion and is not guaranteed.

3.3 Asset Submission
Upon confirmed payment, required creative assets must be submitted within 48 hours of auction close.

Required materials include:
– One image OR one *approved embeddable media element
– One headline (maximum 90 characters including spaces)
– One destination URL

*Embeddable media should include public URLs from supported platforms including YouTube,X (formerly Twitter), Instagram, TikTok, or Spotify. Only the public post or track URL is required.

Embedded social media posts may contain either image or video content. Platform formatting, layout, and aspect ratio are controlled by the originating platform and cannot be modified.

Submitted posts, videos, or audio must remain public and embeddable for the full feature period. We are not responsible for rendering failures caused by deleted, restricted, geo-blocked, or private content.

3.4 Scheduling
Daily Features go live at 12:00am ET on the scheduled date and remain live until 11:59pm ET. We maintain final control over formatting, layout, and presentation.

3.5 Clearing Price Disclosure
For transparency and archival integrity, the final winning bid amount (the “Clearing Price”) of each Daily Feature auction may be publicly displayed on the Website. The Clearing Price may be shown within the live Daily Feature, on the archived version of the feature, and in related communications or historical records. By participating in an auction, you acknowledge and agree that the final winning bid amount may be published. No confidential treatment applies to the Clearing Price.

Content Standards
You represent and warrant that any submitted content is lawful, safe for general audiences, does not infringe intellectual property rights, does not violate privacy or publicity rights, and is not defamatory, deceptive, or misleading. You grant Butler Digital ApS a non-exclusive, worldwide license to display submitted materials on the Website for the scheduled feature period and to archive the feature thereafter. We reserve the right to remove or decline content at any time if it violates these Terms or applicable law.

4.1 Regulatory Compliance
You are solely responsible for ensuring that your submitted content, promotions, offers, and linked materials comply with all applicable laws and regulations, including advertising, marketing, consumer protection, financial, and industry-specific regulations in any jurisdiction where your content may be accessible.
We do not review submissions for regulatory compliance and assume no responsibility for verifying legal conformity of featured content.

Archive & License
All Daily Features are archived as part of the Website’s permanent historical record. By submitting content, you grant us a non-exclusive, worldwide license to display the content during the scheduled feature period and to retain and display the archived placement after the live feature period concludes. Archived content will not be removed except where required by law or at our sole discretion.

Pricing, VAT & Refund Policy
All prices are listed in USD unless otherwise stated. VAT or other applicable taxes may apply in accordance with Danish and EU tax law. Winning bids constitute a binding obligation to complete payment. Auction settlements are final once payment is completed. Due to the nature of digital promotional placements, payments are non-refundable. In the event of a confirmed technical error attributable to us, the sole remedy shall be rescheduling of the placement. Refunds, if any, are granted solely at our discretion.

No Performance Guarantee
Participation in a Daily Feature does not guarantee traffic, engagement, sales, conversions, media exposure, or business results. All placements are exposure-based services.

Intellectual Property
All Website content, branding, layout, and design are owned by or licensed to Butler Digital ApS. You may not reproduce, distribute, modify, or commercially exploit Website materials without prior written permission.

Indemnification
You agree to indemnify, defend, and hold harmless Butler Digital ApS, its directors, officers, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:
(a) content you submit or feature through the Website;
(b) alleged infringement of intellectual property, privacy, or publicity rights;
(c) violation of applicable law; or
(d) breach of these Terms.

Limitation of Liability
To the maximum extent permitted by law, Butler Digital ApS shall not be liable for indirect, incidental, consequential, or special damages. Our total aggregate liability shall not exceed the amount paid by you for the relevant placement.

Third-Party Services
The Website may integrate third-party services including payment processors, analytics tools, and advertising platforms. We are not responsible for the policies or actions of third parties.

Privacy & Cookies
Use of the Website is governed by our Privacy Notice and Cookie Policy.

Governing Law
These Terms are governed by Danish law. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the Danish courts.

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
